About the job  

The Company Secretary plays a critical governance role, providing strategic and practical support to the Board, and SA Water’s executive team. This role ensures the organisation meets it’s legal regulatory and compliance obligations by coordinating high-quality board papers, maintaining accurate corporate records, managing statutory reporting, and serving as the primary point of contact for board support.

The Company Secretary also drives strong governance practices across the organisation, advises on policy and legislative requirements, and supports the Board in making well-informed decisions. All with a focus on integrity, transparency and continuous improvement.

About the Person

The ideal candidate for the Company Secretary role is highly organised, trustworthy, and confident working with senior leaders. They have strong knowledge of governance, legislation and compliance and can explain complex requirements in a clear and practical way. This person pays close attention to detail, has expectational written and verbal communication, and can prepare accurate, high-quality board papers under tight deadlines.

They build strong relationships, communicate professionally, and can be relied on to handle sensitive information with discretion. Most importantly, they take initiative, solve problems early, and are committed to supporting good governance and helping the Board and Executives makes well-informed decisions. 

In addition, your responsibilities will include: 

Fostering trust with our people, customers and community by providing expert advice and service that ensure we effectively communicate and engage audiences with our business strategy and its delivery across South Australia, every day. 

You will: 

  • Lead the company secretariat service for SA Water’s Board and subcommittees.
  • Work directly and autonomously with Board members and Executive team members to support the effective and strategic focus of Board and committee meetings and agendas
  • Responsible for developing and delivering a corporate-led suite of company secretary documentation, resources and tools that supports the business to effectively reporting to Board.
  • Review and amend Board and Executive meeting papers to ensure consistency of quality and content and provide feedback to senior managers and Executive on the same.
  • Responsible for preparation and distribution to Board directors the meeting pack for each Board and subcommittee meeting.
  • As a key governance advisor, guide and support the board on its duties, ensure governance policies are followed and ensure that legal and regulatory requirements are met.

Your success in this role will come from: 

  • Qualifications in law or equivalent or substantial experience (>3 years) as a Company Secretary or in a like governance role.
  • Desirable to have a Membership of the Governance Institute of Australia or the Australian Institute of Company Directors.
  • Desirable to be a Graduate of the AICD Company Director’s Course.
  • Experience in providing high level support to Boards, Committees and Executive staff.
  • High level of attention to detail, accuracy and professionalism in all written communication, reports, minutes and correspondence.
